Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) are a binding agreement between you and Auxari Inc. (“Auxari,” “we,” “us,” or “our”) governing your use of the Auxari application, website, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Your account

You are responsible for the accuracy of your account information and for keeping your credentials secure. We strongly recommend enabling two-factor authentication. You are responsible for activity under your account. Notify us immediately at support@auxari.com of any unauthorized use.

4. The Service

Auxari is an AI-powered assistant that, with your authorization, connects to third-party services (including Google, Microsoft, your vehicle via SmartCar, and your smart home via Home Assistant), helps you manage routines, calendar, email, and devices, and can take actions on your behalf. Features and integrations may change, be added, or be discontinued over time.

5. Connected third-party services

The Service works by connecting to accounts and devices you own or control. You authorize Auxari to access those services and to take the actions you configure. You are responsible for complying with the terms of each third-party service, and we are not responsible for the availability, accuracy, or actions of those third-party services. Your authorization can be revoked at any time through your settings or the provider.

6. Automated and AI-driven actions

Please read this section carefully. The Service can act automatically and proactively on your behalf — for example, sending messages, changing calendar entries, controlling smart-home devices, or sending commands to your vehicle. You control which actions are automatic and which require your confirmation through your settings.

You acknowledge that:

AI systems can make mistakes, misinterpret instructions, or act on incomplete information.
You are responsible for reviewing and configuring the permissions and automations you enable.
You should not rely on the Service for time-critical, safety-critical, or emergency functions.
We are not liable for actions taken by the Service in accordance with the permissions and instructions you configured, except as required by law.

7. Acceptable use

You agree not to: use the Service unlawfully or for unauthorized purposes; access accounts or data you do not own or have permission to use; interfere with or disrupt the Service; attempt to reverse engineer or circumvent security; or use the Service to harass, harm, or violate the rights of others.

8. Fees and subscriptions

9. Intellectual property

10. Your content

You retain ownership of the content and data you provide or that the Service accesses on your behalf. You grant us a limited license to process that content solely to operate and provide the Service to you, consistent with our Privacy Policy. We do not use your connected-service data for advertising, and we do not use Google user data to train generalized AI/ML models.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AUTOMATED ACTIONS WILL ALWAYS BE CORRECT.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUXARI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED [[ e.g. the amount you paid us in the prior 12 months, or a fixed cap ]].

14. Indemnification

You agree to indemnify and hold harmless Auxari and its affiliates from claims and expenses arising out of your misuse of the Service or violation of these Terms or applicable law.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

16. Changes to the Service and Terms

We may modify the Service or these Terms. We will provide notice of material changes as required by law, and your continued use after changes take effect constitutes acceptance.

17. Governing law and dispute resolution
